Fraser Turner Ltd v Pricewaterhousecoopers LLP and others [2019] EWCA Civ 1290; [2019] P.N.L.R. 33 (2019)
Roseanna Darcy, Barrister, South Square, London, UKSynopsis
An appeal was dismissed in circumstances where a contractual obligation to pay royalties did not survive the sale of the business by administrators. There was no express or implied term obliging the procurement of a purchaser to be bound by a continuing obligation to pay royalties. The administrators had carried out their duties in good faith and no unfair harm had been caused.
